Global Finance and Risk Solutions

Global Finance and Risk Solutions
This is where we sell equity or debt, arrange loans, take part in syndication, and handle structuring, deals and risk management transactions. All across continents and sectors.
  • Debt Origination

    Here you’ll set up bonds and loans to support the funding needs of a range of issuers across the full credit spectrum. Issuers include sovereigns and private equity firms as well as high-grade and sub-investment grade corporations. And they may need to raise capital for anything from refinancing to growth plans and complex cross-border acquisitions, or to fund leveraged buyouts or execute dividend recapitalizations.

    How it works in practice

    A large multinational corporation wants to raise funds for an overseas acquisition that’s key to its growth strategy. It needs to be sure it has the funds to pay shareholders for their stock. The Debt Origination team underwrites short-term bridge financing which funds the initial acquisition. The team then arranges for a bond to be issued to refinance the bridge and provide long-term funding that supports the corporate finance strategy of the combined businesses.

  • Risk Solutions Group

    We help our clients identify and deal with risks to their business arising from the financial markets. These risks include moves in interest rates, foreign exchange rates and inflation. You’ll help to develop, structure and execute solutions using derivatives (a type of financial instrument) and present ideas to clients while learning about what drives some of the world’s biggest financial markets.

    RSG helped Sky buy the German and Italian parts of its business from 21st Century Fox. A big purchase like that comes with all sorts of financial risks, and the types of risk depend on how you find the money and what you want to do with it. Sky raised US Dollars from investors in the US, but needed to pay 21st Century Fox in Euros. We structured a derivative transaction to help them swap between the two currencies, as well as reducing the risk they’d face if there were any future changes in interest rates in Europe.

  • Equity Capital Markets

    This is the team that gives clients a comprehensive range of capital raising solutions relating to equity. It is a fast-paced environment in which you’d help originate and execute equity and equity-linked transactions. These include Initial Public Offerings (IPOs), follow-on transactions, private placements, convertible bonds and share repurchases. Because they’re all to do with equity, they’re highly strategic transactions that are carefully tailored to help our clients achieve their goals.

    A fast-growing independent gym company is considering going public. It wants to raise capital to fund its expansion and boost its profile. Our Equity Capital Markets (ECM) team would guide the company through the IPO process including crafting their equity story, introducing the company to investors and co-ordinating with the regulator and other advisers before launching and raising the capital through a public bookbuild. This is a life-changing event for a corporate client. So we’d also support them after the event, continuing to advise on a range of equity and equity-linked solutions that become available once the company is listed.

  • Mergers & Acquisitions

    You’ll develop a broad base of skills as you work alongside experts in different industries and geographies. You could be involved in everything from figuring out the financial impact of an acquisition and how the deal would affect a client’s performance, to deciding who to approach to drive the deal forward. Often you’ll collaborate with accountants, lawyers and PR firms, as well as with colleagues in Global Finance. Your goal at every stage? A successful outcome for everyone.
